Merchant agreement

Terms of Service

Version {{ version }} · in force from {{ effective }}

This agreement is between you (you, the business using Paymint to accept payments) and Paymint LLC, a Delaware limited liability company at 1201 N Market St, Wilmington, DE 19801, United States (Paymint, we, us). It governs your use of Paymint to take payments, hold a balance, and receive payouts.

Some of what follows affects when you can access your own money. Sections 5, 6 and 9 are the ones to read closely. We have tried to write them so nothing in them is a surprise later.

1. What Paymint does

Paymint lets you accept card and bank payments from your customers. Payments are processed by Stripe, and the funds from your sales are held in a Stripe account that belongs to you and that we administer on your behalf.

You are the merchant of record for every payment you take. You are responsible for what you sell, for delivering it, for your own refund policy, and for your customers.

2. Stripe

Payment processing services for merchants on Paymint are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these terms or continuing to operate as a merchant on Paymint, you agree to be bound by the Stripe Services Agreement, as the same might be modified by Stripe from time to time. As a condition of Paymint enabling payment processing services through Stripe, you agree to provide Paymint accurate and complete information about you and your business, and you authorize Paymint to share it and transaction information related to your use of the payment processing services provided by Stripe.

You will not have a Stripe login and Stripe will not contact you directly. We collect the information Stripe needs for verification, we administer the account, and we handle your support. If Stripe requires information about you or your business, we will ask you for it, and we may suspend payments or payouts until it is provided.

Stripe may refuse, hold or reverse a payment under its own agreement, and we cannot overrule it.

Acquiring banks

Card payments are acquired by Stripe’s financial partners. Their identities and contact details are set out in the Stripe acquirer disclosure, which we are required to bring to your attention.

Your information

When you provide personal data in connection with Paymint, Stripe receives that personal data and processes it in accordance with Stripe’s Privacy Policy.

Our payment processor can obtain information from credit agencies to verify your identity. That information will be used for the purposes described in their Privacy Policy.

3. Your account

You must give accurate information about yourself and your business and keep it current. You must be able to enter this agreement, and you must not use Paymint for anything unlawful or for a business type Stripe prohibits.

You are responsible for everything done through your account and for keeping your credentials secure. Tell us promptly if you believe someone else has access.

4. Fees

Our fee is deducted from each payment as it is taken, so the amount that reaches your balance is already net of it. There is no monthly fee, no setup fee and no minimum volume.

Our fee is not returned when you refund a payment. If you refund a sale, the customer receives the full amount they paid, and the fee we earned on the original payment stays earned. This is how card processing works generally; we state it here so it is not a surprise.

We may change our fees on 30 days' written notice to the email address on your account. If you do not accept a change, you may close your account before it takes effect.

5. Your balance and getting paid

Money from your sales goes into your Paymint balance. It does not move to your bank automatically. You withdraw when you want to, and we send it to the bank account you have given us.

Standard withdrawals are free and normally arrive within one to two business days.

Instant withdrawals normally arrive within 30 minutes and carry a fee, which is shown to you before you confirm the withdrawal. Instant withdrawals require an eligible bank account and are not available on every account or in every country.

You must keep a valid bank account on file. A debit card alone is not sufficient, because a card cannot be used to recover a negative balance (see section 8).

Withdrawals are subject to a daily limit and to the reserve described in section 6. Your dashboard always shows the amount available to you right now, the amount held, and the reason.

6. The reserve

A customer can dispute a card payment for up to 120 days after it happens, and sometimes longer. When that happens the money is taken back out of your balance, and if your balance cannot cover it, we cover it. Because of that, we hold back a portion of your recent sales.

How much we hold

The amount held is a percentage of your sales over the preceding {{ holdDays }} days. The percentage depends on how long you have been trading with us, your volume, and your dispute and refund rates:

Where you areRoughly held
Newa month of sales
Establishingtwo weeks
Establishedabout a week
Long-standing, low disputesabout two days
Elevated disputes or refundssubstantially more

We also hold the full amount of any payment currently under dispute or inquiry, and of payments flagged as high risk by the fraud screening Stripe applies.

What this means in practice

  • It is your money throughout. A reserve is not a fee and nothing is deducted. It is your balance, temporarily not withdrawable.
  • It releases by itself. Each sale stops counting {{ holdDays }} days after it was made, so the held amount falls every day without anyone doing anything.
  • It is proportionate to recent trading. If you sell less, less is held. If you stop selling, the reserve winds down to nothing over {{ holdDays }} days.
  • It can go up as well as down. If your dispute or refund rate rises, we may hold more, and that applies to the balance you still have with us. We will never take back money already sent to your bank.

When it changes

Reductions apply immediately. If we increase your reserve, we will tell you on the day it happens, with the figures behind the decision and what would return it to where it was.

In exceptional cases — suspected fraud, a legal or regulatory requirement, or a dispute rate that puts our card network standing at risk — we may hold a larger amount or suspend withdrawals entirely. We will tell you why and what would resolve it.

7. Refunds

You can refund a payment in whole or in part from your dashboard. Refunds come out of your balance, and can be funded from money that is being held under section 6 — a reserve does not stop you making a customer whole.

You cannot refund more than your balance can cover, beyond a limited allowance that depends on your account. If you need to refund more than you hold, add funds or contact us.

You are responsible for having a refund policy, for making it available to your customers before they buy, and for honouring it.

8. Disputes, chargebacks and negative balances

When a customer disputes a payment, the card network takes the disputed amount back immediately, before anyone decides who is right. That amount comes out of your balance. If the dispute is resolved in your favour, it is returned to you.

Stripe charges a fee of $15 for each dispute. That fee is taken from your balance, whether the dispute is won or lost.

If your balance goes negative — because of disputes, refunds, or a returned payout — you must restore it. You authorise us and Stripe to recover a negative balance by:

  • deducting it from money you receive later;
  • debiting the bank account you have given us; and
  • setting it off against any other amount we owe you.

If we cannot recover a negative balance from you, we bear the loss. That is a real cost to us and it is the reason section 6 exists.

Persistently high dispute rates can put us in breach of card network monitoring programmes, which carry fines. We may restrict or close your account to prevent that, and section 6 may apply more strictly in the meantime.

9. Dispute defence

We defend chargebacks on your behalf. Evidence is gathered and submitted to your customer's card issuer in your name, using the records of the transaction we hold.

This is carried out by Takeback.CC, which is a separate company under common ownership with Paymint. We are telling you that plainly because it is a related party and you should know. Enrolling with Paymint enrols you with Takeback for this purpose, and you authorise both of us to act for you in responding to disputes on your account.

The fee is {{ defenceRate }} of what is actually recovered, and it is charged only when a dispute is won on evidence that was submitted for you. There is no fee if a dispute is lost, if no evidence could be filed, or if it closes in your favour without a defence being run. The fee is deducted from your balance when the recovery arrives, and is shown on the dispute in your dashboard.

You can ask us not to defend disputes on your account. If you do, no defence fee will ever be charged, and disputes will be lost by default unless you respond to them yourself.

10. Selling to your customers

What you sell and how you describe it is your responsibility. You must be accurate about what a customer is buying, when they will receive it, and what your refund policy is.

If you sell subscriptions, you must make clear before purchase what will be charged, how often, and how to cancel — and you must honour cancellations. Recurring charges made without clear prior disclosure generate disputes, and repeated failures here are grounds for us to close your account.

We may email your customers on your behalf about payments that concern them — a receipt, or a card that has failed on a subscription. These are transactional messages about a payment they made, sent in your name, and we do not market to your customers or use their details for our own purposes.

11. Suspending or closing an account

You can close your account at any time. We may suspend or close it if you break this agreement, if Stripe or a card network requires it, if we are required to by law, or if we reasonably believe your account is being used fraudulently.

Closing an account does not release the reserve immediately. Disputes can arrive for months after your last sale, so your remaining balance stays with us until the dispute window on your final sales has passed, less anything needed to cover disputes, refunds or a negative balance. Whatever remains is then sent to your bank account. We will tell you the date this is expected.

If we close your account for suspected fraud, we may hold the balance for as long as we reasonably need to in order to establish what is owed to whom.

12. Liability

We provide Paymint with reasonable care and skill, but we do not promise it will be uninterrupted or error-free, and we are not responsible for failures of Stripe, the card networks, or your customers' banks.

Neither of us is liable to the other for indirect or consequential loss, or for lost profits. Our total liability to you in any twelve-month period is limited to the fees you paid us in that period.

Nothing in this agreement limits liability that cannot be limited by law, including for fraud.

13. Changes

We may change these terms. We will give you at least 30 days' notice by email of any change that materially affects your rights, your fees, or how your money is held. Continuing to use Paymint after a change takes effect means you accept it. If you do not, you may close your account under section 11.

Every version of these terms is dated. When you accepted this agreement we recorded which version you saw.

14. General

This agreement, together with the Stripe agreements referenced in section 2 and our privacy policy, is the whole agreement between us.

You may not transfer this agreement without our consent. We may transfer it to a company that acquires our business, on notice to you.

If any part of this agreement is unenforceable, the rest still applies.

This agreement is governed by the laws of the State of Delaware, United States, and the courts of Delaware have exclusive jurisdiction, except that either of us may seek an injunction anywhere necessary to protect our rights.
